General Terms and Conditions Nüt Swiss Wholesale GmbH Shop

1. Scope of application

These General Terms and Conditions (GTC) apply to all business relationships between Nüt Swiss Wholesale GmbH (Nüt Wholesale for short) and its online shop customers in the version valid at the time the contract is concluded. By ordering goods, the customer agrees to these GTC. The GTC of Nüt Wholesale shall apply exclusively. Terms and conditions of the Customer that deviate from the GTC of Nüt Wholesale will not be accepted unless Nüt Wholesale has expressly agreed to them in writing in an individual case.

2. Registration in the Nüt Wholesale online shop

Every order for goods requires registration as a customer with Nüt Wholesale. Multiple registrations under different names or addresses are not permitted. We reserve the right to delete multiple registrations. After successful registration, the customer will be approved by Nüt Wholesale for purchase in the online shop. The approval can be revoked by Nüt Wholesale at any time and without giving reasons. In this case, Nüt Wholesale is entitled to immediately block the username and the corresponding password.

3. Conclusion of contract

The contract is concluded with the acceptance of the order by Nüt Wholesale. The ordering and purchasing conditions can be seen on our website. Prices and product range are subject to change without notice. All offers are subject to change.

4. Deliveries within Switzerland

Nüt Wholesale always delivers the processing costs per consignment to the customer by post. The delivery period is usually 3 to 7 working days. However, information about the expected delivery time is not binding. Nüt Wholesale will promptly deliver the orders to the delivery address provided by the customer. Nüt Wholesale is entitled to make partial deliveries in the event of short-term delivery bottlenecks, provided that the total delivery is guaranteed at a later date. If a total delivery is not possible for reasons beyond Nüt Wholesale's control, Nüt Wholesale is entitled to withdraw from the contract. In this case, the customer will be informed immediately and can either withdraw from the contract without cost consequences or submit a replacement order for another product to Nüt Wholesale.

5. Deliveries worldwide

Products are shipped abroad by post. These deliveries are made exclusively against advance payment or payment by credit card and only as a complete delivery. The shipping and handling costs for deliveries abroad are based on the shipping charges of the Swiss Post and are calculated individually per order. For advance payment, the customer will receive a statement from Nüt Wholesale detailing the contents of the order and the shipping and handling charges. For the processing of deliveries abroad, a processing fee of CHF 10.00 per order will be charged in addition to the normal shipping and handling costs. For a possible withdrawal from the contract due to the impossibility of the entire delivery, the provisions set out under point 4 shall apply.

6. Availability

Products are delivered while stocks last. In particular, seasonal products or products on promotion are only available in limited quantities. If it is determined after receipt of the order that the delivery cannot be completely fulfilled because individual items are not available, Nüt Wholesale will inform the customer of this. In such a case, if the customer has ordered several different products, the customer will only receive a partial delivery. The customer is not entitled to any compensation.

7. Terms of payment

The contract and invoice currency is CHF. All prices include the legally prescribed value added tax (VAT).
A minimum purchase amount of CHF 25.00 applies to all online shop orders. Deliveries in Switzerland are generally made against invoice, payable within 30 days of the invoice date (subject to the following paragraph). Deliveries abroad are only made against advance payment. Selected products can only be ordered in the online shop against credit card payment. This is indicated with the corresponding products in the online shop. Payment against invoice with payment slip requires a positive credit check.

8. Right of return / warranty

The customer is entitled to exercise the right of withdrawal within 10 days of receipt of the goods, without giving reasons in writing, by returning the goods to Nüt Wholesale. The prerequisite for this is that the product is returned to Pro Juventute in its original packaging and undamaged. The costs of the return shipment shall be borne by the customer, unless the delivery does not correspond to the goods ordered. In the latter case, the customer must notify Nüt Wholesale within 10 days at the latest. The return shipment is at the customer's own liability/risk. If the delivered goods are defective, we will either remedy the defect or provide a replacement within a reasonable period of time. If we do not succeed in doing so, you have the right, at your discretion, to cancel the purchase contract or to reduce the purchase price. Any further liability of Nüt Wholesale is excluded to the extent permitted by law.

9. Data protection

The data necessary for the transaction of business will be stored at Nüt Wholesale in strict compliance
with the applicable regulations and, if necessary, will be passed on to affiliated companies for the purpose of order processing. All personal data is treated confidentially and with the utmost care by Nüt Wholesale. We manage addresses of customers ourselves and do not rent or sell addresses. Nüt Wholesale is entitled to use customer addresses for its own interests. By logging in, the customer agrees that his data may be forwarded to third party companies for the purpose of clarifying creditworthiness as defined in section 7. Nüt Wholesale will be happy to answer any questions regarding data protection and data security at any time. Nüt Wholesale is ZEWO certified and is subject to its control.

10. Applicable law and place of jurisdiction

The provisions of Swiss law shall apply. The place of jurisdiction for all claims arising from the business relationship between Nüt Wholesale and its customers is Solothurn. Nüt Wholesale is also entitled to sue at the general place of jurisdiction of the customer.
